These Terms of Use (“Terms”) govern access to and use of the hosted Daml Coding Assistant service, including its autocompletion API, VS Code extension and related functionality (the “Service”). The Service is operated by IntellectEU NV (“IntellectEU”, “we”, “us” or “our”).
By creating an account, accepting these Terms or using the Service, you agree to these Terms.
If you use the Service on behalf of your employer or another organization, you represent that you are authorized to use the Service and accept these Terms on its behalf. In that case, references to “you” include that organization where appropriate.
The open-weight model made available separately through the model repository is licensed under the Business Source License 1.1. These Terms govern only the hosted Service and do not replace the separate license applicable to the model or model weights.
The Service provides AI-generated Daml code-completion suggestions.
During the initial 12-month sponsorship period, the Service is provided free of charge and is supported by the Canton Network Development Fund. After that period, continued access may be subject to fees and additional terms.
Completions are generated automatically and may be incorrect, incomplete, insecure, non-compiling or unsuitable for your intended use. You are responsible for reviewing, testing and validating every completion before using it in your software or development environment.
The Service is a development aid and does not replace professional judgment, code review, security testing or quality assurance.
The Service is intended solely for business and professional use.
You may use the Service only if you:
New accounts may require approval by an administrator before completion functionality is enabled.
You must:
We may refuse, restrict, suspend or revoke access where reasonably necessary to protect the Service or its users, enforce these Terms, comply with law, manage capacity or prevent misuse.
Service capacity is shared. We may apply or adjust reasonable usage limits to maintain availability and ordinary development use.
You must not:
We may investigate suspected violations and take reasonable measures to protect the Service and its users.
Except for components expressly made available under an open-source or separate license, IntellectEU and its licensors retain all rights, title and interest in and to:
These Terms grant you only a limited, non-exclusive, non-transferable and revocable right to access and use the hosted Service for your internal business or professional purposes in accordance with these Terms.
No right to download, possess or separately use the underlying hosted model or model weights is granted unless expressly provided under a separate license.
“User Content” means code, text, file-path information, technical context and other material submitted or transmitted through the Service.
As between you and IntellectEU, you or the relevant owner retain all rights in User Content. IntellectEU does not acquire ownership of User Content merely because it is processed through the Service.
You grant IntellectEU a non-exclusive, worldwide and royalty-free license to host, reproduce, transmit, process, cache and technically modify User Content only as reasonably necessary to:
Except where you separately enable optional Shared Content sharing under Section 6, this license does not authorize IntellectEU to retain code content for model training or to use it to train or fine-tune models.
This license continues only for as long as reasonably necessary for the purposes above, including any applicable logging, backup, security-investigation or legal-retention period.
The Service allows you to voluntarily share certain User Content for model improvement.
Where you enable this setting, the content of the edited Daml file transmitted with a completion request (which may be the full file), the generated completion, the workspace-relative file path and related acceptance feedback constitute “Shared Content”.
Sharing is optional and disabled by default. You may use the ordinary code-completion functionality without enabling it.
You will be asked separately on first use whether you wish to enable sharing. You can
change your choice at any time through the daml-coding-assistant.shareCodeSnippets
setting.
By enabling Shared Content sharing, you grant IntellectEU a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully paid-up and sublicensable license to:
Raw Shared Content may be retained for up to 24 months from collection. This retention limit does not restrict IntellectEU’s continued use of models, model parameters, embeddings, statistical information or other resulting materials created in accordance with this Section. No fee, royalty, accounting or other compensation is payable for Shared Content or any resulting model, output, technology or improvement.
IntellectEU will not publicly disclose identifiable raw Shared Content. Shared Content may be disclosed only:
By enabling Shared Content sharing, you also consent to the processing of Personal Data relating to you that may be included in or associated with Shared Content, as explained in the Daml Coding Assistant Privacy Notice.
You may disable Shared Content sharing at any time through the
daml-coding-assistant.shareCodeSnippets setting. Disabling it:
IntellectEU will delete or irreversibly de-identify retained Shared Content containing Personal Data that can be identified through your Keycloak account identifier, subject to applicable legal-retention requirements and technically necessary backup cycles.
Withdrawal does not require IntellectEU to delete or reverse models, model parameters, embeddings, statistical information or other resulting materials created before withdrawal, but only to the extent such materials no longer contain Personal Data relating to you and do not reasonably allow the relevant Shared Content or Personal Data to be reconstructed, extracted or linked back to you.
Nothing in these Terms limits any data-protection right that cannot lawfully be waived or restricted.
You represent and warrant that:
An employee’s individual use of the sharing setting does not by itself establish that the employee owns or is authorized to license the organization’s code. You are responsible for obtaining any necessary organizational approval.
The Service is not intended to receive:
The extension reads only .daml files, but those files may still contain
credentials, Personal Data or confidential information, and Shared Content is not
automatically filtered before storage or model improvement. You must review your code and
development environment before using the Service and apply appropriate repository
controls, file exclusions and secret-management practices.
IntellectEU does not assume any additional confidentiality, professional-secrecy or regulated-data obligation merely because information is submitted through the Service. Any additional obligation must be expressly agreed in writing.
Personal Data is processed as described in the Daml Coding Assistant Privacy Notice.
“Outputs” means code-completion suggestions generated by the Service in response to User Content.
IntellectEU does not claim ownership of Outputs generated specifically for you.
To the extent IntellectEU owns any intellectual-property right in a particular Output, IntellectEU grants you a worldwide, royalty-free and non-exclusive right to use, reproduce, modify and incorporate that Output into your software for lawful purposes.
This does not grant any right in:
Outputs may be identical or similar to outputs generated for other users, may not qualify for intellectual-property protection and may potentially resemble third-party code.
You are responsible for reviewing, testing and determining whether an Output may lawfully and safely be used.
If you provide suggestions, ideas, issue reports or other feedback concerning the Service (“Feedback”), you grant IntellectEU a worldwide, perpetual, irrevocable, royalty-free, fully paid-up and sublicensable right to use, reproduce, modify, incorporate and otherwise exploit that Feedback for any purpose without restriction or compensation.
Feedback does not include User Content submitted through ordinary completion requests unless you intentionally include it in the Feedback.
During the initial 12-month sponsorship period, the Service is provided without any service-level, availability, support-response or continuity commitment.
IntellectEU may:
Where reasonably practicable, we will provide advance notice of a material discontinuation or change significantly affecting ordinary use.
Model updates may change the nature, quality or behavior of completions.
The Service may rely on third-party software, libraries, authentication providers, hosting services and separately licensed components.
Where a third-party or open-source license expressly applies to a component, that license governs the relevant component instead of these Terms.
Use of Google authentication may also be subject to Google’s applicable terms and privacy policies. Installation and updates through the VS Code Marketplace are also subject to Microsoft’s applicable marketplace terms and privacy notice.
The separately distributed open-weight model remains governed by the license identified in its repository.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”.
INTELLECTEU DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, RELIABILITY, MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
INTELLECTEU DOES NOT WARRANT THAT:
You use the Service and Outputs at your own risk and remain responsible for your software, testing, deployment, security and compliance.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTELLECTEU AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTELLECTEU’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED EUR 100.
The exclusions and limitations above do not apply to liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct or death or personal injury caused by negligence where applicable law prohibits such limitation.
You may stop using the Service at any time and may request account deletion as described in the Privacy Notice.
IntellectEU may suspend or terminate access where:
Where appropriate and reasonably practicable, we may provide notice and an opportunity to remedy a breach before termination.
Upon termination:
Sections concerning intellectual property, Shared Content, Outputs, Feedback, disclaimers, liability, termination effects, governing law and general terms survive termination.
We may update these Terms to reflect changes to the Service, applicable law, security requirements or our commercial arrangements.
We will publish the updated Terms and identify their effective date. For material changes, we will provide reasonable notice through the Service, by e-mail or through another appropriate channel.
Where a change materially expands the rights granted over Shared Content or materially changes its intended use, we will request renewed acceptance or a new opt-in.
These Terms and any non-contractual obligation arising out of or relating to them are governed by the laws of Belgium.
The courts of Brussels, Belgium have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, to the maximum extent permitted by applicable law.
If you or your organization has entered into a separate written agreement with IntellectEU covering the Service, that agreement prevails over these Terms to the extent of any conflict.
You may not assign or transfer these Terms or your account without IntellectEU’s prior written consent.
IntellectEU may assign these Terms to an Affiliate or in connection with a merger, reorganization, financing, sale of assets or transfer of the Service.
If any provision is held invalid or unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions will remain effective.
A failure or delay in enforcing a provision does not waive that provision or any other right.
These Terms, the Privacy Notice and any applicable separate written agreement constitute the entire agreement concerning the hosted Service.
